ride the teacups audio license (rtal) v1.0

This license governs the use of audio files downloaded from RideTheTeacups.com (the “Audio Files”). By downloading or using the Audio Files, you agree to be bound by this license.

1. definitions

  1. “Audio Files” means the sound recordings provided by RideTheTeacups.com, whether in whole or in part, including any related materials.
  2. “Licensee” means the individual or entity that downloads or uses the Audio Files.
  3. “Project” means any final product in which the Audio Files are embedded or integrated (e.g., film, video, game, app, podcast, music production, multimedia presentation).

2. grant of rights

RideTheTeacups.com grants Licensee a worldwide, non-exclusive, non-transferable, royalty-free license to use the Audio Files in Licensee’s Projects, including commercial and personal use, subject to the restrictions herein.

3. permitted uses

  1. Use the Audio Files as part of Projects, including: films, videos, animations, games, apps, podcasts, music compositions, advertising, and other media.
  2. Create derivative works or mashups that incorporate the Audio Files as part of a Project.
  3. Reproduce, distribute, and display the finished Project to end users as part of the Project(s).

4. prohibited uses

  1. Resell, rent, lease, sublicense, or otherwise distribute the Audio Files as standalone assets or in a manner that allows others to download the Audio Files themselves.
  2. List the Audio Files in any commercial marketplace for download or licensing (e.g., stock music libraries, asset marketplaces, or similar platforms).
  3. Use the Audio Files in a way that would allow the Audio Files to be recovered or re-sold as a stand-alone item or as part of a library, pack, or collection.
  4. Use the Audio Files in any manner that would imply endorsement by RideTheTeacups.com or misrepresent the origin of the Audio Files.

5. ownership

All rights, title, and interest in the Audio Files remain with RideTheTeacups.com. This license conveys no ownership rights to Licensee.

6. attribution

Attribution is not required. If Licensee chooses to provide attribution, a reasonable attribution such as “Audio provided by RideTheTeacups.com” is welcome but not mandatory.

7. attribution in derivative works

If a Project includes substantial use of the Audio Files, attribution is optional. The Licensee remains responsible for ensuring that their Project complies with this license.

8. term and termination

  1. This license is perpetual unless terminated for breach.
  2. If Licensee breaches any term, the license is terminated immediately and Licensee must cease use of the Audio Files and remove them from all Projects and backups, except for any copies embedded in finished Projects that are already distributed, which may remain, but the Audio Files themselves may not be accessed, redistributed, or used to create new derivative works.

9. warranties and disclaimers

  1. The Audio Files are provided “as is” without warranties of any kind, express or implied.
  2. RideTheTeacups.com disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
  3. RideTheTeacups.com does not warrant that use of the Audio Files will be error-free or uninterrupted.

10. limitation of liability

In no event shall RideTheTeacups.com be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Audio Files, even if advised of the possibility of such damages. Liability, if any, is limited to the greater of (a) the amount paid for the Audio Files (if any) or (b) a nominal amount.

11. indemnity

Licensee agrees to indemnify, defend, and hold RideTheTeacups.com harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from Licensee’s use of the Audio Files in violation of this license.

12. miscellaneous

  1. This license constitutes the entire agreement between RideTheTeacups.com and Licensee regarding the Audio Files and supersedes any prior understandings.
  2. No modification or waiver of any provision shall be effective unless in writing and signed by both parties.
  3. If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13. governing law and dispute resolution

This license is governed by and construed in accordance with the laws of Arizona, without regard to its conflicts of laws principles. Any dispute arising out of or relating to this license shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration seated in Phoenix, Arizona. The arbitrator(s) shall have the authority to grant any remedy or relief that a court of competent jurisdiction could grant. The award shall be final and binding and may be entered in any court having jurisdiction.
